These Terms of Service ("Terms") govern your access to and use of SerenixAI’s website, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. Eligibility (Age 13+)

• Minimum age: You must be at least 13 years old to use the Services.
• Ages 13–17: You may use the Services only with parental or legal guardian consent.
• Under 13: You may not use the Services.

Parental or guardian consent means a parent or legal guardian:

• Reviews these Terms and our Privacy Policy, and
• Provides affirmative permission for the minor to use the Services (including by completing our consent form/process), and
• Accepts responsibility for supervising the minor’s use of the Services.

You represent and warrant that you meet these eligibility requirements.

2. The Services (What We Provide)

SerenixAI provides AI-powered features intended to support reflection, grounding, and well-being-oriented conversations. The Services may change over time, and some features may be experimental or in "open beta".

Not medical care. Not therapy. The Services are not a substitute for professional mental health care, diagnosis, treatment, or crisis services.

3. Safety and AI Limitations

• Outputs are generated by software and may be incomplete, incorrect, or inappropriate for your situation.
• Do not rely on the Services for medical, legal, financial, or other professional advice.
• If you are in immediate danger or experiencing a crisis, contact local emergency services or a qualified professional right away. The Services are not an emergency service.

4. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account.
• You agree to provide accurate information and keep it up to date.
• You must notify us promptly of any unauthorized access or security incident involving your account.

If you sign in using third-party identity providers, their terms may also apply.

5. Acceptable Use

You agree not to misuse the Services, including by:

• Breaking the law, infringing rights, or attempting unauthorized access
• Harassing, threatening, exploiting, or harming others
• Uploading malware or interfering with the Services’ operation
• Attempting to circumvent safety systems or "jailbreak" the model

Our docs/ACCEPTABLE_USE_POLICY.md is incorporated into these Terms by reference.

6. Your Content

You may provide text and other inputs to the Services ("User Content"). You retain ownership of your User Content as between you and us, subject to the license below.

To operate the Services, you grant SerenixAI a limited, worldwide, non-exclusive license to host, process, transmit, and display your User Content solely to provide, maintain, and improve the Services and to enforce our policies (including safety and abuse prevention), consistent with our Privacy Policy.

You are responsible for your User Content and for ensuring you have the rights necessary to provide it.

7. Privacy

Our handling of personal information is described in our Privacy Policy: docs/PRIVACY_POLICY.md. Our Cookie Policy is available at docs/COOKIE_POLICY.md.

8. Intellectual Property

SerenixAI and its licensors own all rights, title, and interest in and to the Services (including software, designs, and trademarks), except for User Content.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

9. Paid Features (If Offered)

Some parts of the Services may be offered for a fee. If you purchase a paid plan:

• You agree to pay the prices and applicable taxes presented at checkout.
• Billing, renewal, cancellation, and refund terms (if any) will be disclosed at the time of purchase or in a separate policy.

10. Termination

You may stop using the Services at any time.

We may suspend or terminate access to the Services if we reasonably believe:

• You violated these Terms or our policies, or
• Your use creates risk or harm to others, to the Services, or to SerenixAI.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULSYNQAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULSYNQAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULSYNQAI’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) CAD $100 OR (B) THE AMOUNTS YOU PAID TO SOULSYNQAI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless SerenixAI, its affiliates, and their directors, officers, employees, and contractors from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice (for example, by posting updated Terms and updating the "Last Updated" date).

Your continued use of the Services after changes become effective means you accept the revised Terms.
